General Purpose
We are seeking a seasoned legal professional with in-depth expertise in contracts and commercial agreements, particularly in the healthcare or regulated industries. You are strategic, detail-oriented, and confident in navigating complex negotiations while balancing legal risk with business objectives. As a thought leader, you anticipate industry trends, influence strategy, and communicate complex legal concepts with clarity and impact. You thrive in a collaborative environment, provide practical and actionable guidance to executives and teams, and are passionate about supporting a mission-driven company that improves healthcare payment integrity. In this role, you will report to the Chief Executive Officer.
Duties & Responsibilities
Contracts & Commercial Matters
- Draft, review, and negotiate a wide variety of contracts, including vendor agreements, client contracts, partnership agreements, software licensing, and consulting agreements.
- Develop standardized contract templates and playbooks to streamline negotiations and reduce risk.
- Ensure all contracts align with regulatory requirements, corporate policies, and company objectives.
- Advise internal stakeholders on contractual rights, obligations, and risk mitigation strategies.
Legal Strategy & Leadership
- Serve as primary legal advisor to the CEO, executive team, and Board of Directors.
- Provide strategic counsel on corporate governance, risk management, and compliance.
- Draft, review, and negotiate contracts, partnership agreements, and vendor/customer arrangements.
Healthcare & Regulatory Compliance
- Ensure compliance with federal and state healthcare laws, including HIPAA, ACA, ERISA, CMS, and state insurance regulations.
- Oversee privacy, data security, and fraud/waste/abuse compliance programs.
- Monitor evolving healthcare and payment integrity regulations advising on implications for the business.
Risk Management
- Develop and oversee risk management and mitigation strategies.
- Oversee the Compliance department, ensuring regulatory requirements are monitored, documented, and implemented effectively across the organization.
- Manage disputes, litigation, and relationships with outside counsel.
- Create frameworks to reduce liability and strengthen compliance culture.
Qualifications
- Juris Doctor (JD) degree and active bar license in Oregon; multi-state licensure a plus.
- 10+ years of legal experience, with a significant focus in contracts, healthcare, compliance, and negotiation.
- Strong background in healthcare regulatory matters (HIPAA, CMS guidelines, payor/provider relationships).
- Proven ability to manage complex contracts, negotiations, and corporate governance issues.
- Experience advising executives and boards in a high-growth or healthcare technology environment preferred.
- Strong business acumen and ability to balance legal risk with strategic opportunity.
- Excellent leadership, communication, and collaboration skills across teams and stakeholders.
- Proven ability to adapt quickly to evolving regulations and changing case dynamics.
- Must be based in the Portland metro area or able to commute regularly.
